UGIZO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM DELAYS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

7. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, UGIZO AND ITS AFFILIATES, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE. IN NO EVENT SHALL UGIZO’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO UGIZO FOR THE SERVICE IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100), IF ANY, WHERE PERMITTED BY LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless Ugizo and its officers, directors, employees, contractors, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or debts and expenses arising from your use of the Service or your violation of these Terms, including but not limited to any use of Content other than as permitted herein.

9. Governing Law and Disputes

These Terms shall be governed by the laws of the jurisdiction in which Ugizo operates, without regard to its conflict of laws principles. You and Ugizo agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising out of or related to these Terms or your use of the Service. Notwithstanding the foregoing, Ugizo reserves the right to seek provisional or protective relief in any court of competent jurisdiction.
